The BrixRae Electric Steam Engine System

The BrixRae Electric Steam Engine system consists of an electric energy source(s), induction boiler producing steam, a steam-engine producing mechanical work utilized for propulsion and electrical energy regeneration and a transmission to facilitate vehicle motion.

The Electric Steam Engine system design currently consists of approximately one hundred fifty (150) parts in total yet only requires an estimated eighteen (18) moving parts. This simplified design allows for expected lower maintenance and repair activity relative to existing heavy-duty diesel engines.

Voting Rights: Class A Common Stock will not be entitled to vote on any corporate matter other than those specified by law.

Dividend Rights: Except as otherwise provided by the Company’s Articles of Incorporation, dividends may be declared and paid on Common Stock at such times and in such amounts as the board of directors, in its discretion, shall determine.

Liquidation Rights: In the event of any liquidation, dissolution or winding up of the Company, whether voluntary or involuntary, than before any payment or distribution shall be made to the holders of Class A Common Stock, the holders of any secured-debt instruments, promissory notes, and possible preferred stock shares will possess priority over Common Stock shareholders to receive any available Company funds until those Company liabilities are settled-in-full. Thereafter, the remaining assets, if any, shall belong to and be divided among all the holders of the Company’s Common Stock.

Preemptive Rights: The Company’s Class A Common Stock shares do not have preemptive rights with respect to any potential future equity issuances. .

Redemption: The holders of the Class A Common Stock shall not have any right at any time to require the redemption by Company of any of the shares of Class A Common Stock.

No Sinking Fund Provisions: The Company has no sinking fund provisions for the purchase of Class A Common Stock.

No Liability to further calls or to assessment by the Company: TThere are no outstanding calls or assessments that could create liability to holders of Class A Common Stock.

Shareholder Rights: No rights of Class A Shareholders may be modified other than by affirmative vote of a majority or more of the then Shares outstanding, voting as a class.

Advancements in Battery Technology: The development of advanced battery technologies enables us to leverage the strength of batteries to power induction boilers and not require plug-in charging stations.
